The legal framework governing access to and use of the SkillBridge Health platform.

1. Scope

These Website Terms apply to access to the public website of SkillBridge GmbH. They do not govern use of the SkillBridge SaaS platform by customers or end users; such use is governed by the separate customer contracts, end-user terms, data processing agreement and related contractual documents.

The website is primarily directed at business users, in particular clinics, care providers, healthcare organisations, partners and investors.

2. No Contract Formation via the Website

Information provided on the website does not constitute a binding offer to enter into a SaaS contract. A contract is formed only by separate agreement, order form or confirmed offer.

Statements regarding features, prices, roadmap, integrations or availability are binding only if expressly included in the relevant contract.

3. Permitted Use

The website may only be used lawfully and as intended. Security attacks, excessive automated scraping, manipulation, reverse engineering, operational disruption, abusive contact requests, unlawful content or use for the development of competing products are prohibited.

4. Content, Intellectual Property and Trademarks

All rights in texts, graphics, product illustrations, marks, designs, workflows, software logic and other content remain with SkillBridge or the respective rights holders. Content may not be copied, published, resold, disclosed in competitive analyses or used to develop competing solutions without prior consent.

SkillBridge™ and other product names may be protected identifiers. Use requires prior approval.

5. Availability and Changes

SkillBridge endeavours to provide the website properly but does not warrant continuous availability, freedom from errors, completeness or accuracy of website content. SkillBridge may modify, supplement or remove website content and functions at any time.

6. Liability

SkillBridge's liability is governed by applicable law. For simple negligence, SkillBridge is liable, to the extent legally permissible, only for breach of material duties and limited to foreseeable, typical damage. Mandatory liability, in particular for wilful misconduct, gross negligence and injury to life, body or health, remains unaffected.

Use of the SaaS platform is primarily governed by the applicable customer contracts and SLA provisions.

7. Data Protection and Cookies

Information on the processing of personal data and the use of cookies, local storage and comparable technologies is provided in the SkillBridge Privacy Notice and Cookie Notice.

8. Governing Law

German law applies. To the extent legally permissible, the place of jurisdiction is Darmstadt, Germany.
